Reseller Portal – Terms & Conditions

By registering as a reseller on this portal, you ("Reseller") agree to be bound by the following terms and conditions governing your resale of Pulsetto products ("Product").

1. Reseller Appointment

Upon approval of your application, Pulsetto grants you an authorization to resell the Product to small and medium-sized business (SMB) customers within your designated territory indicated in the Pulsetto B2B portal. This authorization may be extended to other resellers at Pulsetto's discretion in designated territory. Upon approval by Pulsetto You may be appointed as an exclusive Reseller subject to a condition that the Reseller purchase minimum monthly volume of the Product established in Pulsetto B2B portal, as well as compliance with other provisions of these Terms & Conditions and applicable regulations.

2. Permitted & Restricted Sales Channels and activities

You may not list or sell the Product on Amazon or any other third-party online marketplace without prior written approval from Pulsetto.

You may include the Product in a multi-product online store, provided that:

• All product descriptions, marketing copy, and visuals are pre-approved by Pulsetto before publication;

• You use only Pulsetto-supplied branding and marketing materials.

If you wish to operate a standalone store or website dedicated solely to the Product, you must:

• Obtain prior written approval from Pulsetto before launch;

• Comply fully with Pulsetto's branding guidelines and visual identity standards;

• Implement any future branding updates issued by Pulsetto in a timely manner.

Domain names containing "Pulsetto" or any recognizable variation must either be registered directly in Pulsetto's name, or — if registered by you — transferred to Pulsetto promptly upon request at no cost.

You are strictly prohibited from engaging in "brand bidding" or "trademark bidding" activities. This includes, but is not limited to, purchasing, licensing, or otherwise using the trademark "Pulsetto" or any recognizable variation, misspelling, or similar term (including but not limited to "Pulseto," "Pulsseto," "Pulsito") as a keyword, search term, or advertisement trigger on any online search engine (e.g., Google, Bing), social media platform (e.g., Facebook, Instagram), or third-party online marketplace. This prohibition applies to all forms of advertising, including search advertising, display advertising, and social media promotions, where the intent or effect is to divert traffic from Pulsetto’s official channels or compete for keyword placement related to the Pulsetto brand.

You will comply with all applicable economic sanctions laws, regulations, and restrictive measures imposed by the European Union, its member states, the United States (including, without limitation, those administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control ("OFAC")), and any other relevant jurisdiction (collectively, "Sanctions Laws"). Specifically, You undertake to take all reasonable measures and ensure that the Products purchased by You would not be sold to the businesses and/or individuals in the Russian Federation or business and/or individuals who intend to distribute Products in the Russian Federation directly or indirectly. You agree that this or similar provision should be included in any Products sale contract for 10 or more Products.

3. Payment Terms

Invoices issued under this arrangement are due within 14 calendar days of the invoice date, unless an alternative arrangement has been agreed in writing with Pulsetto.

4. Intellectual Property

All intellectual property rights in the Product — including trademarks, branding, product names, and copyrighted materials — remain the exclusive property of UAB Pulsetto. You may not modify, reverse-engineer, or alter the Product or any associated materials in any way. Any use of Pulsetto's intellectual property is permitted solely for the purpose of reselling the Product in accordance with these terms.

5. Marketing & Conduct Standards

You agree to promote the Product professionally and in line with Pulsetto's brand guidelines. You must not make false, misleading, or unsubstantiated claims about the Product, and you are responsible for ensuring your marketing activities comply with all applicable local laws and regulations.

6. Term & Termination

Your reseller authorization remains in effect until terminated. Either party may end the arrangement with 30 days' written notice.

Pulsetto may terminate your access to the portal and your reseller status immediately if you:

• Commit a material breach of these terms and fail to remedy it within 20 days of written notice;

• Become insolvent, file for bankruptcy, enter receivership or liquidation, or cease ordinary business operations.

Upon termination, you must immediately discontinue all use of Pulsetto's branding, visuals, and intellectual property.

7. Confidentiality

These terms, your reseller pricing, and any information exchanged in connection with your reseller relationship are confidential. You agree not to disclose them to any third party without Pulsetto's prior written consent.

8. Governing Law

These terms are governed by the laws of the Republic of Lithuania. Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Lithuania.

9. General

These Terms & Conditions represent the complete agreement between you and Pulsetto regarding your reseller status and supersede any prior discussions or understandings. Amendments are only valid if made in writing and agreed by both parties. Your reseller status and rights under these terms are personal to you and may not be assigned or transferred without Pulsetto's prior written consent.
